KISHWAUKEE AMATEUR RADIO CLUB

CONSTITUTION

Preamble

1. The name of this club is "THE KISHWAUKEE AMATEUR RADIO CLUB", DeKalb, Illinois, hereinafter "the Club".

2. The purpose of the Club shall be to promote interest in amateur radio communication and experimentation; the advancement of the radio art; the benefits and pleasures of the association of persons commonly interested in radio techniques; the relaying of messages by radio without charge; and the furtherance of the public welfare by furnishing communication in the case of general community emergency.

Article I

Sec. 1. All persons interested in amateur radio shall be eligible for membership in the Club.

Sec. 2. Membership in the Club shall be by application and election as provided for in the Club By-Laws.

Article II

Sec. 1. The officers of the Club shall be as follows: A president, a vice-president, a secretary, and a treasurer.

Sec. 2. The officers of the Club will be elected for a term of one (1) year by ballot of the members present, provided there is a quorum, at the annual October meeting.

Sec. 3. Vacancies occurring between elections must be filled by special ballot, at the first regular meeting following a resignation or withdrawal.

Sec. 4. Officers may be removed from office on a motion and by a three-fourths vote by ballot of the membership.

Article III

Sec. 1. The president shall preside at all meetings of the Club, and conduct the same according to the rules herein adopted; shall enforce observance of this Constitution and the By-Laws; shall decide all questions of order and perform all customary duties pertaining to the office of president.

Sec. 2. The vice-president shall assume all the duties of the president in the absence of the president.

Sec. 3. The secretary shall keep a record of the proceeding of all meetings; keep an accurate record of all members; carry on all correspondence; read communications at each meeting; and mail written notices to each member of every meeting of the Club; and shall, at the expiration of his/her term of office, turn over everything in his/her posession belonging to the Club to his/her successor.

Sec. 4. The treasurer shall receive and furnish receipts for all money paid to the Club; shall keep an accurate record of money received and expended; shall pay outstanding bills incurred by the Club through its normal operation; and shall, at the expiration of his/her term, turn over everything in his/her possesion belonging to the Club to his/her successor.

Article IV

Sec. 1. All regular and special meeting shall be provided for in the By-Laws. At all meetings, ten (10) members including officers present shall constitute a quorum for the transaction of Club business.

Article V

Sec. 1. Membership dues in the Club shall be $15 per year for Regular, Active and Associate members; $10 per year for college students and seniors 65 and over; $5 for high school students and additional family members. Additional family members shall be admitted to the club without a vote upon payment of specified dues. Dues are payable in advance at the regular October meeting. Non-payment of dues by the first meeting in January shall be cause for suspension from the Club. Upon receipt of dues the suspension of a member shall be lifted.

Article VI

Sec. 1. By member requests, the Club, through designated members or committees, will provide technical assistance to members concerning equipment design or assistance in handling broadcast listener interference cases caused by operation of amateur stations in the area of the Club's jurisdiction.

Article VII

Sec. 1. This Constitution and By-Laws may be amended by a two-thirds vote of members present, when there is a quorum for such a vote. Proposals for amendments shall not be voted on until the regular meeting following the one at which these proposals were submitted.

Sec. 2. A quorum for purpose of amending the Constitution or By-Laws shall be ten members in addition to the officers present.

Article VIII

Sec. 1. Robert's Rules of Order shall be the guide in conducting meetings of the Club.


BY-LAWS

1. At least 51% of the membership shall be licensed amateur radio operators. It shall be the duty of the officers of the Club to keep a continuous check of the membership status.

2. A membership committee, consisting of four (4) members, shall be appointed by the president to serve for a term of one (1) year. The appointments shall run concurrently with the terms of the officers.

3. The treasurer is authorized to pay bills incurred by the Club upon receipt.

4. The treasurer shall submit a statement including all disbursements and receipts at each regular monthly meeting.

5. It shall be the duty of the secretary to keep the Constitution and By-Laws of the Club, and have the same at every regular and special meeting of the Club. The secretary shall cause all amendments, changes, and additions to be noted thereon, and shall have the same available for examination by any member upon request.

6. Regular meetings of the Club shall be held on the second Wednesday of every month at such place as the president shall order. Special meetings of the Club may be called at the discretion of the president. Notice for the special meetings and the business to be transacted therein shall be so sent as to arrive not later than twenty-four (24) hours before the meeting time.

7. In the 3rd quarter of each calendar year, an audit committee, consisting of 3 club members chosen by the club president, shall perform an inventory of all assets that are on the list of club-owned property maintained by the treasurer and secretary. In the case where a club member has custody of an item, a certification of possession will suffice for inventory purposes.

8. Also during the 3rd quarter, this committee shall audit the club finances, with attention given to expenditures made from checking, savings and cash during the previous 12 months, and balances in said accounts. These will be compared against receipts and bills authorized for payment by the club. The physical inventory and audit of expenses, income, and other assets shall be of an common effective (cutoff) date for the audit report. A written report of the inventory and audit shall be given by the audit committee to club officers no later than the November meeting. Copies of the report will go to the general membership.
